Microsoft 365 License Management
Governed, Optimized, Audit-Ready
CSPs sell licenses. ICS governs them. Fixed-fee audits, quarterly optimization, and audit-ready evidence for your Microsoft 365 estate — with no MSP scope creep into administration or support. Microsoft Modern Work Solutions Partner. CSP Indirect Reseller.
One-Time Governance Audit or Ongoing CSP Governance
Most clients start with a fixed-fee governance audit. Organizations that want licensing owned and governed continuously graduate to CSP of record with quarterly reviews — licensing only, nothing else added to scope.
Fixed-Fee License Governance Audit
A scoped, fixed-fee review of your Microsoft 365 licensing estate — SKU mix, assignment accuracy, unused seats, renewal exposure, and compliance entitlement mapping. Delivered as a written report with prioritized, quantified recommendations. No ongoing commitment required.
CSP of Record + Quarterly License Governance
ICS becomes your Microsoft CSP of record and takes ownership of the licensing lifecycle — procurement, true-ups, renewals, and quarterly utilization reviews with written evidence. This tier is licensing only: no tenant administration, no helpdesk, no endpoint management.
The Licensing Layer — And Only the Licensing Layer
Every dimension of Microsoft 365 licensing governance, delivered as a standalone service with a documented boundary against administration and support work.
SKU Mix Governance (E3 / E5 / Business Premium)
Standing governance over your E3, E5, Business Premium, and F-SKU mix — reconciled against actual persona needs, not vendor upsell pressure. Every SKU decision is documented and defensible to finance and audit.
Copilot License Fit & Ramp Governance
Independent, data-driven Copilot fit scoring per persona and a governed license ramp tied to demonstrated adoption — so Copilot spend is a controlled line item, not an open-ended experiment.
Compliance Entitlement Mapping
Documented mapping from your SOC 2, HIPAA, GLBA, or PCI DSS control requirements to the specific Microsoft entitlements that satisfy them — so procurement and compliance teams work from the same source of truth.
True-Ups, Renewals & Price Protection
Active management of Microsoft NCE term commitments, renewal cadence, and true-up timing — so mid-term growth is procured without forfeiting price protection on your base estate.
Quarterly License Utilization Audits
A recurring quarterly cadence of utilization audits — unassigned seats, stale accounts, duplicate add-ons, over-provisioned personas — each producing a dated, written finding for your records.
CSP of Record & Transition Management
Full CSP-of-record services, including transition from direct billing, an Enterprise Agreement, or another CSP, with no gap in licensing continuity and no disruption to your operations team.
F-SKU & Frontline Licensing Governance
Governed frontline licensing (F1/F3) for hospitality, healthcare, retail, and field operations — shared-device policy and persona-based assignment so frontline seats are never over-licensed.
Audit Evidence Packaging
A standing license inventory, assignment policy, and deprovisioning runbook, refreshed quarterly and packaged for SOC 2 auditors, cyber insurance underwriters, or M&A due diligence teams on request.
From Governance Audit to Quarterly Cadence
A predictable 4–6 week path from first conversation to an executed governance plan, then a recurring quarterly rhythm — with a written deliverable at every stage.
Governance Audit
Fixed-fee audit of the current license estate — SKU mix, assignment data, renewal calendar, and compliance entitlement mapping. Written findings delivered at the end of week two, independent of any sales motion.
Written Recommendations
SKU-level recommendations with quantified impact, a renewal and true-up plan, and — where relevant — a Copilot ramp proposal. Reviewed jointly with your finance and IT stakeholders before anything changes.
Execute the Governance Plan
CSP transition if applicable, SKU corrections, unassignment of shelfware, and cleanup of duplicate add-ons — sequenced against renewal dates so no price protection is lost in the process.
Quarterly Governance Cadence
Recurring quarterly utilization audits, renewal preparation, true-up guidance, and refreshed audit evidence — delivered as a standalone licensing function, with no administrative scope creep.
Fixed-Fee Audits. Modest Quarterly Retainer. Nothing Bundled In.
The governance audit is fixed-fee with a written deliverable. Ongoing license governance runs as a small monthly retainer, priced independently of any administration or support services — you pay for licensing governance, and only licensing governance.
When Clients Need More Than Licensing

Security & Messaging Administration (L2)
The security and messaging plane — Defender for Office 365, Exchange Online, Purview DLP — administered as a fixed-scope service, independent of helpdesk or provisioning.
Learn More →Administration & Support (L3)
Full-tenant M365 administration — licensing, identity, endpoints, Exchange, SharePoint, Teams, Copilot, and security — under one SOW, with licensing included.
Learn More →Enterprise Governance (L4)
Board-ready governed tenant operations wrapped around your existing IT function — RACI, change management, QBRs, and SOC 2 evidence packaging.

How is License Management different from just having a CSP?+
A CSP sells you licenses and processes billing. ICS License Management governs them — quarterly utilization audits, documented SKU rationale, compliance entitlement mapping, and audit evidence you can hand to a SOC 2 assessor or cyber insurance underwriter. Many clients keep an existing CSP relationship for billing and add ICS purely for the governance layer.
Does this tier include any tenant administration or helpdesk?+
No — and that's intentional. Microsoft 365 License Management is scoped to licensing only: SKU strategy, procurement, true-ups, renewals, and quarterly governance. There is no user provisioning, no endpoint management, and no ticket-based support in this SKU. Clients who want ICS to run the tenant itself move to Administration & Support (A&S), which folds licensing in at no extra purchase.
What's the relationship between this and the other three ICS M365 tiers?+
License Management is the foundational, standalone tier (L1) in the ICS Microsoft 365 stack. When clients need more than licensing, we have three additional tiers: Security & Messaging Administration (L2) for the Defender/Exchange/Purview plane, Administration & Support (L3) for full-tenant operations, and Enterprise Governance (L4) for board-level oversight wrapped around an existing IT function. Each is purchasable independently.
Can ICS become our Microsoft CSP of record without taking over IT operations?+
Yes. ICS is a Microsoft Indirect Reseller CSP, and CSP-of-record is available as a standalone engagement with no requirement to also purchase administration or support services. We're frequently the licensing-governance partner sitting alongside another MSP or an internal IT team.
How do you keep this scoped so it doesn't turn into an MSP contract?+
Every engagement has a written scope document listing exactly what's covered — licensing lifecycle and governance — and what isn't. If a finding surfaces an administration or security issue outside that scope, we document it and refer it, rather than quietly expanding the engagement.
Do you help us evaluate Microsoft 365 Copilot licensing?+
Yes, as part of the governance function. We score Copilot fit per persona against real usage signals, and build a licensing ramp tied to adoption evidence rather than blanket enablement — so Copilot spend stays a governed, defensible line item.
How much does License Management cost?+
The initial governance audit is fixed-fee, based on tenant size and complexity. Ongoing quarterly governance runs as a modest monthly retainer, typically well below the savings identified in the first audit. Every proposal is written before work starts.
Do you support organizations outside Dallas?+
Yes. ICS serves clients across North America and 5+ countries from our Dallas headquarters. For Dallas-Fort Worth organizations, we also run on-site licensing governance workshops — see our Dallas M365 licensing page.
Ready for Licensing That's Actually Governed?
Start with a fixed-fee governance audit. Two to three weeks, written deliverable, SKU-level recommendations with quantified impact. Then decide whether a one-time cleanup or ongoing quarterly governance is the right fit.
